This Prospectus Supplement No. 1, dated August 8, 2014, (Supplement No. 1), filed by Amedica Corporation (the Company), modifies and supplements certain information contained in the Companys prospectus, dated August 7, 2014 (as amended and supplemented from time to time, the Prospectus). This Supplement No. 1 is not complete without, and may not be delivered or used except in connection with, the Prospectus, including all amendments and supplements thereto. The Prospectus relates to the sale of up to 2,326,409 shares of our common stock by MG Partners II Ltd., or the Selling Stockholder, consisting of:

Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
Departure of Jay Moyes
On August 7, 2014, Jay Moyes resigned as the Chief Financial Officer and as a member of the Board of Directors of Amedica Corporation (the Company), effective as of the close of business, August 8, 2014. Mr. Moyess resignation was not the result of any disagreements with the Company on any matter relating to the Companys operations, policies or practices.
Appointment of Gordon Esplin
On August 7, 2014, the Company appointed its Vice President Finance, Gordon Esplin, as its Principal Accounting Officer.
Mr. Esplin, 46, joined the Company in 2007 as our Controller and has served as our Vice President Finance since November 2012.
There is no arrangement or understanding between Mr. Esplin and any other person pursuant to which he was appointed as Principal Accounting Officer of the Company. There have been no transactions and are no currently proposed transactions to which the Company or any of its subsidiaries was or is a party in which Mr. Esplin has a material interest, which are required to be disclosed under Item 404(a) of Regulation S-K. There are no family relationships between Mr. Esplin and any director or other executive officer of the Company.
